Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and Upuah regarding access to and use of the websites, APIs, chat widget, dashboard, and related services available at upuah.com (the “Service”). By accessing or using the Service, you agree to these Terms.

1. The Service

Upuah provides live chat infrastructure that you can embed on websites, manage from a workspace dashboard, and call through API v1. Features may include conversations, tickets, auto replies, webhooks, team invites, and widget customization. We may change, improve, or discontinue parts of the Service with reasonable notice when practical.

2. Accounts and eligibility

  • Workspace accounts are provisioned for customers; you must provide accurate information and keep credentials secure.
  • You are responsible for activity under your API keys, embed tokens, and user accounts.
  • Agents must be authorized by the workspace owner to access assigned channels and integrations.
  • You must be able to form a binding contract and use the Service only in compliance with law.

3. Plans and payment

Paid plans, limits, and billing periods are described on upuah.com or in your order. Fees are non-refundable except where required by law or expressly stated. We may suspend or limit access for unpaid balances or plan overages after notice where reasonable.

4. Acceptable use

You must follow our Acceptable Use Policy. You may not misuse the Service, attempt unauthorized access, interfere with other customers, or use Upuah to send unlawful, harmful, or deceptive content.

5. Your content and visitor data

You retain ownership of content and visitor data you submit through the Service. You grant Upuah a limited license to host, process, transmit, and display that data solely to provide and secure the Service. You represent that you have the rights and notices required to collect and process visitor data through the widget and tickets.

6. API keys, embeds, and security

  • Server keys (Upuah_) must stay on your backend and must never be exposed in browser code.
  • Embed tokens are scoped to allowed origins you configure; keep those origins accurate.
  • Rotate compromised keys immediately from the dashboard.
  • Verify webhook signatures before trusting inbound events.

7. Intellectual property

Upuah, the Service software, documentation, logos, and related materials are owned by us or our licensors. These Terms do not transfer ownership. You may not copy, reverse engineer (except where prohibited from restriction by law), or resell the Service except as allowed in writing.

8. Third-party sites

The Service may interact with your websites and third-party tools. We are not responsible for third-party products, policies, or outages outside our control.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only for purposes related to the Service, except for information that is public, independently developed, or required to be disclosed by law.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Upuah WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO Upuah FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.

12. Indemnity

You will defend and indemnify Upuah against claims arising from your use of the Service, your visitor data, your websites, or your violation of these Terms or applicable law.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for material breach, non-payment, security risk, or legal requirement. Upon termination, your right to use the Service ends; provisions that by nature should survive will survive.

14. Changes to the Terms

We may update these Terms by posting a revised version on upuah.com. Material changes will be indicated by updating the date above. Continued use after the effective date constitutes acceptance where permitted by law.
